Phase 1 Environmental Due Diligence Assessment

SLP Environmental was appointed by an international client to conduct a Phase 1 Environmental Site Assessment (Phase 1 ESA) supplemented with an Environmental Compliance Assessment (ECA) for a manufacturing facility located in Bin Duong Province, Vietnam. The study was undertaken as part of the client’s pre-acquisition transaction due diligence exercise. The study was conducted with due regard to the following guidance insofar as is practicable in the Socialist Republic of Vietnam:

• BS ISO 14015:2001 Environmental management – Environmental assessment of sites and organizations

Our trained auditors interviewed members of the facilities management and operations team and conducted a detailed inspection of the facility and the operations and activities thereon. Particular attention was paid to procedures and practices pertaining to general environmental management, hazardous materials, hazardous wastes, bulk storage, wastewater, air emissions, nuisance controls and other miscellaneous environmental aspects. The assessment also included a detailed records review to assess whether the facility was in possession of all the relevant environmental licenses, consents and permits as required under Vietnamese law for their operations.

Our auditors conducted a detailed review of the physical and biological site setting including studies on the areas geology, hydrology, hydrogeology, ecology, history and cultural factors. The assessment was undertaken on a rapid turnaround basis and culminated in the production of a commercially focused enhanced Phase 1 ESA report that clearly identified the material and other relevant environmental issues and their respective likely mitigation costs.

The report also included a checklist detailing the environmental regulatory requirements applicable to the operations and activities at the target facility and the current compliance status of the facility with respect to each regulatory obligation.
