Lenders’ Technical, Environmental & Social Advisor, Wind Energy Projects, Thailand
SLP Environmental Co., Ltd was appointed to act as Lenders’ Technical, Environmental, and Social Advisor (“LTESA”) to perform:
- Technical Due Diligence (TDD);
- Environmental and Social Due Diligence (ESDD), and
- Environmental and Social Management Plan (ESMP) Development.
The LTESA service was to support a business transaction involving a large renewable energy company operating multiple wind power projects in Thailand and SE Asia. The focus of the Due Diligence was on two large operational wind power projects located in Thailand.
The primary objectives of the TDD aspect of the assignment were to:
- Assess whether the assets can be reliably operated for up to 30 years;
- Identify and recommend any necessary repowering actions, including estimated CAPEX requirements, to extend the operational life of the assets to year 30; and
- Assess the long-term expected energy yield up to year 30, with projections at various confidence levels (P50, P75, P90, P99), taking into account performance degradation and any planned or recommended repowering measures.
The primary objectives of the ESDD aspect of the assignment was to assess the conformance status of the Projects and the Company with respect to the transactions E&S Safeguards Requirements, and where gaps with such were identified to recommend appropriate corrective actions (CA’s) to close the gaps.
SLP was also required to enhance existing environmental and social management plans to ensure that all identified Project E&S impacts and risks were appropriately mitigated.
In summary, the scope of work included detailed document reviews via a virtual dataroom (VDR), site visits and inspections, interviews with internal and external stakeholders and reporting.
